1. Distributor Requirements
Distributors represent the company and must meet specific criteria. To become a distributor:
- Legal Status: Distributors can be either legal entities or sole entrepreneurs.
- Office and Facilities: Must have an office, showroom, and warehouse space.
- Qualified Staff: Must employ qualified personnel for sales.
- Advertising and Presentation Readiness: Must be prepared to implement advertising policies and presentations as agreed.
- Financial Stability: Must demonstrate financial stability.
The core principle of our distribution policy is honest and transparent partnership. Distributors operate under a distribution agreement that outlines mutual obligations, pricing discounts, and commercial terms.
2. Formalizing Distributor Relations
Distributors may be legal entities or individual entrepreneurs. The process to become a distributor includes:
- Application Submission: Either a letter of application from the potential distributor or a targeted proposal from the Manufacturer.
- Review Process: The Manufacturer reviews the application within five days.
- Decision: Based on the review, the Manufacturer decides whether to grant distributor status. If approved:
- Agreement: A distribution agreement is signed.
- Certificate: A Distributor Certificate is issued.
- Information Package: Includes information materials and exhibition samples.
- Training: The distributor’s employees will undergo training at the Manufacturer’s facilities.
If rejected, the Manufacturer will provide a written explanation.
3. Basic Conditions of Distributor Relations
- Distributor Categories: Based on region and sales volume, distributors are categorized as Silver, Gold, or Platinum, each with its own discount system.
- Discounts: Set individually by the Manufacturer.
- Product Delivery: Ex-warehouse in quantities according to standard packaging. Initially, purchases are pre-paid; after one year (or earlier based on performance), payment deferral up to 30 days may be granted.
- Additional Distributors: For regions with existing distributors, new applications exceeding the current distributor’s purchase volume by more than 1.5 times are reviewed after consulting with the current distributor. No new agreements are made in the region for six months if the current distributor meets the agreement terms.
4. Responsibilities of the Distributor
- Customer Acquisition: Find new customers, distribute information, and formalize contracts.
- Purchase Volume: Meet agreed monthly purchase plans (cumulative annual volume may be considered).
- Pricing Policy: Comply with the Manufacturer’s pricing policy.
- Tender Participation: Agree on participation in tenders and pricing.
- Marketing Activities: Participate in marketing activities and promote Mediwish Co., Ltd. products, including:
- Mandatory product information and logo placement on the website.
- Availability of product samples and information materials.
- Organization of regional advertising events.
- Seminars: Attend distributor seminars and participate in policy discussions.
5. Duties of the Manufacturer
- Product Supply: Ship products in agreed quantities and at special prices.
- Uniform Policy: Apply consistent policies to all distributors.
- Information Provision: Provide comprehensive product information, technical consultations, and updates on changes.
- Training Seminars: Conduct at least one training seminar per year.
- Trade Show Support: Provide support for regional exhibitions, including presentation files, advertising handouts, and technical assistance.
- Corporate Advertising Support: Include distributor details on the Manufacturer’s website and in product catalogs.
- Product Returns: Accept returns within the first six months of the Distributor Agreement if sales difficulties arise.
6. Final Provisions
The Manufacturer will review the Distributor Agreement annually based on joint activities. The agreement may be terminated for violations or non-compliance with the Distributor Policy.
Official Dealer Status
Companies that do not meet distributor requirements but make regular direct purchases of large volumes may receive Official Dealer status and a certificate. This status requires annual purchases of at least $10,000 on wholesale terms. The manufacturer sets dealer discounts based on the dealer's activity. Official Dealers are not authorized by the company to carry out activities to promote the product under the Mediwish brand and do not enjoy the associated preferences, such as promotional and advertising bonuses, distributor discounts, training, consulting, marketing and financial support.
